Starting an LLC in Minnesota

An LLC in Minnesota is a formal structure that protects your home, car, and bank account in case your business is sued.

Send your Minnesota Articles of Organisation to the  Secretary of State and wait for your LLC to be accepted.

You can either mail or file online for your LLC. If you send your application by mail, it will cost you $135 and take 11–12 business days to be accepted, plus the time it takes to get to you. The fee is $155 if you file online, and your LLC will be accepted right away.

After your LLC is accepted, finish your  LLC Operating Agreement and get your  EIN Number (also called a Federal Tax ID Number) from the IRS.

You must file a  LLC Annual Renewal annually to keep your Minnesota LLC in good standing. The fee to renew each year is $0, and it costs nothing to file. You’ll also have to ensure your company pays any  LLC Taxes annually.
