Start an LLC with a Practical Formation Checklist

Starting an LLC is a sequence of decisions, applications and ongoing responsibilities. Begin with the business model and operating location, then prepare formation documents, ownership records and a filing calendar that matches the way the business will actually trade.

Choose the state with operations in mind

List where owners work, employees are based and inventory is stored before selecting a formation state. Forming elsewhere may still require registration where the business operates. Compare the full recurring cost rather than choosing solely on the initial filing charge. Before deciding, write a short fact sheet covering the owners, the activity, the places involved and the intended outcome. Separate confirmed facts from assumptions that still need checking. Give the reviewer the actual documents rather than a summary assembled from memory. This makes the advice easier to apply and reduces the chance that a crucial detail is overlooked.

Prepare a consistent application file

Check the proposed name, registered agent and required addresses. Decide who may submit documents and who will manage the company. Review each spelling and ownership detail against identification records so later tax and bank applications tell the same story. Create a working folder with the source records, the questions raised and the answer received. Check that names, addresses and periods agree across documents before anything is submitted. If the instructions are unclear, resolve that point with the relevant authority or a suitable adviser. A documented decision is easier to revisit when the business changes than an informal assumption.

Plan the first month after approval

Keep the approved filing, prepare an operating agreement and assess the EIN application. Open bookkeeping records before accepting payments. Review permits, insurance and applicable registrations. Assign responsibility for government correspondence so a notice does not sit unread in a forwarding inbox. Assign a named person to the next action and record how completion will be evidenced. Keep accepted filings, correspondence and supporting calculations together. Revisit the arrangement when ownership, location or activity changes. Where more than one country or authority is involved, ask who will coordinate the work so each adviser understands the wider picture before relying on another person’s conclusions.

Check the official guidance

Rules and provider requirements can change. Check the current official guidance and seek advice on your circumstances before acting.
