Director Payroll: Separate Salary, Expenses and Dividends
Money paid to a director needs a clear legal and accounting basis. Salary, reimbursed expenses, dividends and loans are different transactions. Plan the payment method with the company’s profit, employment position and the director’s tax circumstances in view.
Choose payments for the right reason
A director can have several relationships with the company, and each payment needs classification. Salary relates to remuneration, while dividends depend on company-law and profit considerations. A transfer to a personal account does not become a dividend merely because that description is added in the banking reference. Before deciding, write a short fact sheet covering the owners, the activity, the places involved and the intended outcome. Separate confirmed facts from assumptions that still need checking. Give the reviewer the actual documents rather than a summary assembled from memory. This makes the advice easier to apply and reduces the chance that a crucial detail is overlooked.
Check payroll and reporting requirements
Review whether PAYE registration and payroll reporting are required, then use the relevant director rules in payroll software. Overseas residence or work performed in several countries requires a separate review. Confirm the treatment before making recurring payments so corrections do not accumulate across the year. Create a working folder with the source records, the questions raised and the answer received. Check that names, addresses and periods agree across documents before anything is submitted. If the instructions are unclear, resolve that point with the relevant authority or a suitable adviser. A documented decision is easier to revisit when the business changes than an informal assumption.
Keep supporting company records
Record approved remuneration, expense claims, dividend documentation and director-loan movements separately. Reconcile the director’s balance with the company books and preserve the evidence for payments. Revisit the arrangement when profit, personal income or working location changes rather than treating a past year’s payroll recommendation as permanent. Assign a named person to the next action and record how completion will be evidenced. Keep accepted filings, correspondence and supporting calculations together. Revisit the arrangement when ownership, location or activity changes. Where more than one country or authority is involved, ask who will coordinate the work so each adviser understands the wider picture before relying on another person’s conclusions.
Check the official guidance
Rules and provider requirements can change. Check the current official guidance and seek advice on your circumstances before acting.
Can any transfer to a director be called a dividend?
No. A payment needs the correct legal and accounting basis; a banking reference does not establish a valid dividend.
Should director-loan movements be recorded separately?
Yes. Keep loan movements, remuneration, expense reimbursements and dividends distinct in the records.
